Non-Disclosure Agreement
We highly value the creative work and intellectual property of the brands we collaborate with. In order to safeguard the confidentiality and exclusivity of your designs, we have established the following Non-Disclosure Agreement (NDA) terms. By filling up and submitting our Contact Form, both parties agree to abide by the terms outlined below:

Definition of Confidential Information
Confidential Information" refers to any non-public information, including but not limited to, design concepts, sketches, prototypes, specifications, and any other information related to the creative work provided by the disclosing party.

Obligations of Receiving Party
The Proto Studio and its representatives, employees, or any other person acting on its behalf (collectively referred to as the "Receiving Party") agree to:-
Maintain Confidentiality: The Receiving Party shall hold all Confidential Information in strict confidence and take all reasonable precautions to prevent unauthorized disclosure or use.

Restricted Use: The Receiving Party shall use the Confidential Information solely for the purpose of evaluating and discussing potential collaboration and shall not use it for any other purpose without the express written consent of the disclosing party.

Limit Access: The Receiving Party will restrict access to the Confidential Information to individuals who have a legitimate need to know for the purpose of the collaboration and who are bound by confidentiality obligations similar to those herein.

Exceptions
The obligations of confidentiality shall not apply to information that:-
Is already known to the Receiving Party at the time of disclosure without an obligation of confidentiality.

Becomes publicly available or enters the public domain through no fault of the Receiving Party.

Is independently developed by the Receiving Party without reference to or reliance upon the Confidential Information.

Return or Destruction of Information
Upon the disclosing party's written request or the termination of discussions between the parties, the Receiving Party shall promptly return or, at the disclosing party's option, destroy all copies of the Confidential Information in its possession.

No License or Ownership Rights
Nothing in this agreement shall be construed as granting any license or ownership rights to the Receiving Party with respect to the Confidential Information.
